These Terms & Conditions govern your use of the Clipmesh desktop application, the website at clipmesh.ai, and every related service (together, the “Service”). The Service is provided by Clipmesh, 27 Old Gloucester Street, London, WC1N 3AX, United Kingdom.

By creating an account, installing the app or making a purchase, you agree to these terms. If you do not agree, please do not use the Service.

• You must be at least 16 years old, or old enough to enter a binding contract where you live.
• The details you give us when signing up must be accurate and kept up to date.
• You are responsible for keeping your password safe and for everything done through your account.
• One account is for one person. Team access is available on our team and enterprise plans.
• Tell us promptly at the address below if you believe your account has been accessed without your permission.

• Prices are shown on our pricing page in GBP and may exclude taxes, which are added where applicable.
• Subscriptions renew automatically for the same period until you cancel. Card subscriptions renew through our payment provider; where a payment method does not support automatic renewal, you will be prompted to renew manually.
• Credits are the in-app unit used to pay for cloud AI features. They are granted with your plan each billing period or bought as one-off packs. Credits have no cash value and cannot be exchanged for money or transferred between accounts.
• Plan credits are allocated for the billing period in which they are granted and do not roll over unless the plan says otherwise.
• Cancelling takes effect at the end of the current period. You keep access until then, and we do not charge you again.
• Price changes apply from your next renewal, and we will tell you before they take effect.

Refunds are handled under our separate Refund Policy, which forms part of these terms.

The free plan lets you use Clipmesh without paying. It comes with a smaller monthly credit allowance and storage quota, and some features are reserved for paid plans. We may change what the free plan includes, and we may suspend free accounts that have been inactive for an extended period after telling you first.

You agree not to use Clipmesh to:

• Create or distribute content that is unlawful, defamatory, hateful, or that harasses or endangers anyone.
• Produce sexual content involving minors, or any material that sexualises children in any way.
• Infringe someone else's copyright, trademark, privacy or other rights.
• Impersonate a real person or organisation, or create deceptive material intended to mislead people about real events.
• Reverse engineer, resell, sublicense or white-label the Service, except where the law says you may.
• Circumvent credit limits, plan restrictions, watermarking or any other technical protection.
• Attack, overload, probe or otherwise interfere with our systems, or use automated means to scrape the Service.

We may suspend or close an account that breaches this section. Where a breach is serious or unlawful, we may act without prior notice.

You keep full ownership of the scripts, footage, audio and finished videos you create with Clipmesh. We claim no rights over your output and we do not use your projects to train models.

To run the parts of the Service you ask for, you grant us a limited licence to store, process and transmit content you upload to your account — solely to provide the Service to you. That licence ends when you delete the content or close your account.

You are responsible for holding the rights to anything you upload, and for how you use the videos you export. Content generated by third-party AI models is also subject to that provider's terms.

The Clipmesh software, brand, website and all related materials belong to us or our licensors. Subject to these terms, we grant you a personal, non-exclusive, non-transferable licence to install and use the app for as long as your account is active. Nothing here transfers ownership of the software to you.

Some features send your request to a third-party AI provider, or connect to services such as stock footage libraries and payment gateways. Those providers have their own terms and we are not responsible for their content, availability or decisions. Where you supply your own API key, your use is governed by your agreement with that provider.

We work to keep the Service running reliably, but we do not guarantee uninterrupted availability. We may carry out maintenance, change features, or retire parts of the Service. Where a change materially reduces what a paid plan gives you, we will tell you in advance and, if you would rather not continue, you may cancel and we will refund the unused part of your current period.

Because rendering runs on your own hardware, export speed and quality depend on your machine and are outside our control.

Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, we are not liable for lost profits, lost revenue, lost data or indirect or consequential loss, and our total liability to you in any 12-month period is limited to the amount you paid us in that period. The Service is provided “as is” and we make no warranty that it will meet a particular requirement.

You are responsible for keeping your own backups of project files stored on your computer.

You can stop using Clipmesh and close your account at any time from your account settings. We may suspend or close your account if you materially breach these terms, if we are required to by law, or if we discontinue the Service — in which case we will give reasonable notice and refund any unused prepaid period.

We may update these terms as the Service develops. The “last updated” date at the top always reflects the current version, and we will notify you of material changes by email or in the app before they take effect. Continuing to use Clipmesh afterwards means you accept the updated terms.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute. If you are a consumer, you keep the benefit of any mandatory protections of the law where you live.

If any part of these terms is found to be unenforceable, the rest continues to apply. Questions? Email fahim@clipmesh.ai.
